Terms of Service

1. Acceptance of Terms

By creating an account and using Amity Pro, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to all of these terms, do not use the service.

2. Intellectual Property & Proprietary Rights

Amity Pro, including but not limited to its source code, object code, software, algorithms, user interface designs, architecture, databases, documentation, graphics, logos, trademarks, trade names, and all related intellectual property (collectively, the “Platform”), is and shall remain the sole and exclusive property of Amity Pro and its licensors. All rights not expressly granted herein are reserved.

You acknowledge and agree that:

  • The Platform contains proprietary and confidential information protected by applicable intellectual property, copyright, trademark, and trade secret laws.
  • You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for your internal business operations during your active subscription period.
  • No ownership, intellectual property rights, or title in or to the Platform is transferred to you under these Terms.

3. Restrictions on Use

You agree that you will not, directly or indirectly:

  • Copy, reproduce, distribute, modify, adapt, translate, or create derivative works of any part of the Platform.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, underlying algorithms, or structure of the Platform.
  • Access or attempt to access the Platform's source code, databases, or server infrastructure by any unauthorised means.
  • Remove, obscure, or alter any proprietary notices, labels, or markings on the Platform.
  • Rent, lease, lend, sell, sublicence, assign, or otherwise transfer your rights to the Platform to any third party.
  • Use the Platform to build a competing product or service, or use it for benchmarking or competitive analysis.
  • Use automated tools, scrapers, bots, or similar technologies to extract data or content from the Platform beyond normal usage.
  • Circumvent, disable, or otherwise interfere with any security, authentication, or access control features of the Platform.

4. Confidentiality

You acknowledge that the Platform, its features, functionality, design, and any non-public information provided to you constitute confidential information. You agree to maintain the confidentiality of such information and not disclose it to any third party without prior written consent. This obligation survives termination of your account.

5. Free Trial

New accounts receive a free trial period. The length of the trial is determined at the time of registration. At the end of the trial, you must subscribe to a paid plan to continue using the service. A short grace period may be provided after trial expiry.

6. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must not share your account credentials with any third party.

7. Your Data

You retain ownership of all business data you enter into Amity Pro. We will not sell or share your data with third parties except as required to provide the service. However, your use of the Platform and the data you store within it does not grant you any rights to the Platform itself.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We reserve the right to perform maintenance with reasonable notice.

9. Termination

Either party may terminate this agreement at any time. Upon termination, your licence to access the Platform is immediately revoked. Your business data will be retained for 30 days before permanent deletion. Sections 2 (Intellectual Property), 3 (Restrictions), 4 (Confidentiality), and 11 (Limitation of Liability) survive termination.

10. Enforcement & Remedies

Any breach of Sections 2, 3, or 4 may cause irreparable harm for which monetary damages would be inadequate. In such event, Amity Pro shall be entitled to seek injunctive relief, specific performance, or other equitable remedies in addition to any other remedies available at law.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Amity Pro shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the Platform.

12. Privacy Policy

Your use of Amity Pro is also governed by our Privacy Policy. By using the service, you consent to the collection and use of information as described therein. We collect only the data necessary to provide the service and do not sell personal information to third parties.

13. Changes to Terms

We may update these terms from time to time. Material changes will be communicated via email or in-app notification. Continued use of the service after changes constitutes acceptance of the updated terms. If you do not agree to the updated terms, you must stop using the Platform.

14. Governing Law

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising under these Terms shall be resolved in the courts of competent jurisdiction.

These terms should be reviewed by legal counsel before launch to ensure compliance with your specific jurisdiction and business requirements.
